Lattice Terms of Service

By using the LATTICE mobile application, you are agreeing to the Terms of Service, Privacy Policy, and Community Guidelines. Any and all of the terms of this mobile application are subject to change by LATTICE at any time without notice.

Conflict of Laws

By visiting LATTICE, you agree that the laws of the state of Florida, without regard to principles of conflict of laws, will govern these Conditions of Use and any dispute of any sort that might arise between you and LATTICE.

Indemnity

You will indemnify, defend, and hold harmless LATTICE and its owners, affiliates, directors, officers, employees, and agents, from and against all third-party actions that: (i) arise from your activities on the LATTICE mobile application; (ii) assert a violation by you of any term of this Agreement; or (iii) assert that any content you submitted to LATTICE violates any law or infringes any third party right, including any intellectual property or privacy right. You agree to pay all of LATTICE’s legal costs and fees, including but not limited to, attorneys’ fees in defending LATTICE against any legal action, legal claim, or lawsuit, arising from any content you post, upload, generate, cause to be uploaded, or create, and/or arising from any actions you take through the mobile application that lead to legal claims against LATTICE.

Limitation of Liability

IN NO EVENT SHALL LATTICE, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, MISREPRESENTATIONS, OR INACCURACIES OF CONTENT ON THE MOBILE APPLICATION, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF LATTICE’S SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL, PROFESSIONAL, AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, (V) ANY TORTIOUS OR CRIMINAL ACT BY A THIRD-PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

YOU SPECIFICALLY ACKNOWLEDGE THAT LATTICE SHALL NOT BE LIABLE FOR UPLOADED CONTENT, THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD-PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

The Service is controlled and offered by LATTICE from its facilities in the United States of America. LATTICE makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.

Users of the LATTICE mobile application are expected to obey and abide by all state and federal laws in using the application.

Representations and Warranties by You

For each piece of content that you upload, you represent and warrant that: (i) you have the right to submit the content to LATTICE and grant the necessary licenses; (ii) LATTICE will not need to obtain licenses from any third-party or pay royalties to any third-party; (iii) the content does not infringe any third-party's rights, including intellectual property rights and privacy rights; and (iv) the content complies with this Agreement and all applicable laws.

Ability to Accept Terms

You affirm that you are fully able and competent to accept the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by, and comply with these Terms of Service.

Age Requirement

You must be at least 18 years old to use the LATTICE Service. Please exit the mobile application if you are not at least 18 years of age.

Assignment

These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by LATTICE without restriction.

Community Guidelines

By entering this mobile application, you agree to the LATTICE Terms of Service, and the LATTICE Privacy Policy, both incorporated herein by reference. If you do not agree to any of these terms (LATTICE Terms of Service and the LATTICE Privacy Policy) please do not use the LATTICE mobile application or any of its services. By using this mobile application you are agreeing to adhere to the Community Guidelines as they are written hereafter.

Uploaded Content

In using the LATTICE mobile application, you understand and agree that you are uploading and providing personal information to a third-party, and that you have no expectation of privacy in doing so. The information that you upload should be true, correct, and accurate to the best of your ability. The application is designed to facilitate interactions between users, and it works best if the contact information that you provide is correct.

Please refrain from using logos, company names, email addresses, phone numbers, web links, LinkedIn links, and social media profiles, that do not belong to you, that you are not allowed to use, or from places where you no longer work.

Communication with Others

LATTICE provides a digital business card experience for use during conferences. As such, communication with other attendees through the application is expected and encouraged. Please keep the communications appropriate, pleasant, and professional. Any communications which are not inline with our values will be terminated, and the initiator of the communications may be removed from the application as well.

LATTICE also reserves the right to take action to prevent further use of the mobile application by individuals who violate these Community Guidelines.

User Profiles

To use LATTICE, users will need to create a profile. This information is public. Please upload a picture that accurately represents you as of the day you upload. Please input your real name, an active email address, and a current phone number. You can upload much more professional information, including links to your LinkedIn profile, any personal websites, links to your social media, etc. Please ensure that the content is appropriate before uploading.

Termination

LATTICE may terminate your account for any reason or no reason. If your account is deleted, it is likely that you have violated the spirit or letter of the community guidelines, terms of service, or privacy policy. LATTICE is under no obligation to communicate the reason for termination. However, you are allowed to review the Community Guidelines, and re-apply if you feel the decision was made in error.

Types of Content

LATTICE does not allow the posting of nudity, sexual content, pornographic material, violent or graphic content, hateful content, harmful or dangerous content, illegally copyrighted content, threatening content, unlawful acts, extreme violence, fraudulent business schemes, defamatory content, discriminatory content, or spam. As such, please refrain from uploading such content to LATTICE. Failure to adhere to this policy will result in LATTICE taking any and all available action.

Privacy Policy

By using this mobile application, you agree to the terms of the LATTICE Privacy Policy as defined hereafter. In using LATTICE or its services, you are providing LATTICE with an IP address from the computer, phone, tablet, or other device that you access the mobile application from.

By creating a profile, you are providing LATTICE with your name and email address. LATTICE will keep both name and email address in its database until it determines, in its sole discretion, when deletion is proper. In addition, any other personal data that a user provides to update their profile will also be stored on a LATTICE database with either Amazon Web Services or Firebase, depending on the type of information. Neither of these third-party services, nor any third-party is collecting your personal data through the LATTICE service.

Users who wish to change or remove their personal information from the LATTICE database must send a written request to the LATTICE admin, notifying the admin of what information is being requested to be changed or removed. Users may also choose to change or remove the information from their individual profile, or delete their profile entirely.

LATTICE collects all the information that the user provides via the profile, including name, occupation, email address, phone number, personal websites, LinkedIn links, etc. That information is shared with the host server database – Firebase – where it is stored indefinitely for use in a machine learning system to recommend connections and optimize user experience.

LATTICE collects images provided by the user, and stores in its database provided by Amazon Web Services. LATTICE, its employees, and agents, are the only people with access to the contents of the database, and the information therein.

LATTICE is legally allowed to process the information gathered for its business operations in order to optimize the application and provide connection recommendations through its machine learning engine.

As a user, you are able to control your personal info in the following ways:

  • Request access to your personal info
  • Update your personal info
  • Delete external data that is no longer relevant
  • Request to delete your personal data
  • Request that LATTICE stop processing your data
  • Request that LATTICE deliver data to you or a 3rd-party
  • Object to profiling or automated decision making that could impact you

LATTICE will not sell, re-publish, post, or send, this information to any third-party. A user’s personal data is not used for any commercial purpose whatsoever, however, LATTICE reserves the right to change that at its discretion. The information is used for refining the LATTICE machine learning system in order to improve recommendations. It is your responsibility to monitor any changes in our Privacy Policy that may occur within LATTICE’s sole discretion.

This policy goes into effect on January 10, 2019.

§18 U.S.C. 1030 – Computer Fraud and Abuse Act

LATTICE, and its contents, are protected by §18 U.S.C. 1030 – Computer Fraud and Abuse Act (CFAA). LATTICE will seek any and all remedies under the CFAA against any unauthorized users of the mobile application or its contents. LATTICE takes privacy very seriously, and any attempt made to access unauthorized material, or to gain access without authority, will result in LATTICE taking any and all legal remedies, including disclosing information to both the local and federal authorities.
